EWIND LTD GENERAL TERMS OF BUSINESS


All orders for renewable energy products and services, (herein referred to as ?Products?) which have been accepted by Empowering Wind, are deemed to represent a Contract of Sale arising between us and the Customer. This relationship between the parties shall be governed by the following General Terms and Conditions of business and shall represent the understanding of the relationship between the parties to which this association relates.

 

The placement of an order by the Customer and the receipt of an order by Empowering Wind shall be deemed to be an acceptance by both parties of Empowering Wind General Terms of Business herein described.

 

All Empowering Wind  Orders and Contracts of Sale contain a detailed Scope of Works and itemized quotation. Our Product or Service specific Terms and Conditions are attached to these documents, in line with the General Terms of Business.


1. Prices and Payment

 Prices for all Products, including installation fees are stated within the Scope of Works, Quotation and Project Documentation we provide to all customers at point of sale.

 

Prices on Products include delivery charges and VAT.

 

Payments are to be made in UK pounds Sterling to Empowering Wind  Bank Account via direct money transfer. Bank Details are provided upon request.

 

Customers are provided with our Standard Terms of Business which relates to the specific products/services, these Terms are attached to the Empowering Wind Sales Contract prior to completion of sale.  These Terms, along with our Terms and Conditions of Sale represent the entire relationship between us and the Customer. Customer shall be deemed to have accepted these Terms of Business upon completion of sale and customer is duly obligated to transact the amounts associated with the Contract of Sale no later than fourteen days after the contract is completed by the parties.

 

2. Delivery of Goods

Products will be delivered to the site specified within the Customer's Order Form. Empowering Wind  shall deliver Goods on a pre-agreed date no later than four weeks after notifying the customer that Goods are ready for dispatch to site.

 

Customer shall be liable for all additional delivery or installation costs which may be incurred from time to time by Empowering Wind. Costs outside the Scope of Supply to the customer shall be paid by the customer in full on the day of completion or delivery of the Goods.

 

Empowering Wind shall not be liable for delays, errors or omissions in delivery by third party carriers.

 

3. Title to Goods

Empowering Wind and the Customer hereby agree that until payment has been received in full, title to the Products shall remain with Empowering Wind and therefore Empowering Wind shall retain the sole and exclusive ownership rights to the Goods until payment is received in full.

 

Empowering Wind requires the Customer to register our interest in the goods with the Customer's insurers until such time as Empowering Wind Goods have been paid for in full. Customer shall therefore be responsible for any damages or losses occurring to any Empowering Wind Goods after delivery to the Customer's site.

 

4. Claims

No claim for damages shall be accepted by Empowering Wind unless specifically the Customer has notified Empowering Wind within fourteen days of delivery of Goods. This does not affect your statitury rights and the clause applies in accordance with the Product Warranty supplied upon completion of sale.

 

No claim for non-delivery shall be accepted unless the claim is notified by the Customer within two days of the expected delivery date.

 

No claim shall be accepted for Products differing in quantity or description from the particulars on the delivery receipt unless the Customer notifies Empowering Wind in writing within two days of delivery.

 

5. Indemnity

Customer is solely responsible for and hereby agrees to keep Empowering Wind or its authorised agents indemnified against all liability in relation to the use of the Goods other than in strict accordance with the manufacturer?s operating instructions.

 

6. Liability


Empowering Wind liability to the Customer for any default or breach whatsoever arising shall in no case exceed the invoice value of the Goods or Services provided, or due to be provided.

 

 

7. Law

If any of these Terms and Conditions shall be found to be unenforceable or in any way unlawful under certain jurisdiction, this shall not vary or affect the validity or enforceability of the remainder of the conditions herein described.

 

Any dispute relating to Empowering Wind Terms and Conditions shall commence exclusively within the United Kingdom Courts.
